|
- Legal Opinions: Providing well researched and reasoned legal opinions on any questions relating to any aspect of Kenya’s laws;
- Incorporation/Registration Formalities: Incorporation of Kenyan companies, registration of foreisgn companies in Kenya and registration of business names, NGOs, societies and establishment of trusts;
- Contract Law: Drafting contracts, reviewing and advising on contracts drafted by third parties, drafting memoranda of understanding, letters of credit, letters of comfort, letters of intent;
- Employment Law: Providing legal advice on Kenya’s employment laws, drafting and reviewing any employment contracts and advising on any issue relating to the employment of any employee;
- Company Law: Offering company secretarial services, advising on the rights and obligations of shareholders, directors, advising on the holding of general meetings, drafting of notices for general meetings, drafting and filing of resolutions of the board of directors and of the company, completing and filing of annual returns as well as any statutory forms at the Companies Registry;
- Immigration Law: Advising on immigration law requirements for foreigners entering Kenya; applying for and renewal of work permits, business visas, dependant’s passes;
- Land Law: Dealing with land and conveyancing transactions including transfers, charges, mortgages, leases, sales and purchases, sub-divisions, changes of user, extension of term and development schemes;
- Securities: Drafting and registration of Bank security documents such as Debentures, Mortgages/Charges, Company and Personal Guarantees, Pledges, Indemnities that serve as security for any borrowing from any bank in Kenya or elsewhere;
- Intellectual Property: Registration of any trade mark, patent, industrial design or other intellectual property right, registration of a licence or registered user agreement in respect of a trademark or patent, assignment of an intellectual property right;
- Loan Agreements: Drafting and advising on any Loan or Lenders Agreements;
- Banking/Insurance: Giving general advice on banking and insurance laws;
- Mergers & Takeovers: Conducting legal due diligence on target companies with a view to establishing compliance levels and any hidden legal liabilities;
- Retirement Benefit Schemes: Drafting of trust deed and rules for the establishment of pension or provident funds, drafting of contracts with service providers such as custodian, fund manager, administrator and trustees and offering general advice on rights and obligations of sponsor and members;
- Legal Consultancies: Participating as a team member in projects requiring legal consultants.
